Legal Counsel - M&A

Eczacıbaşı Holding Established by Dr. Nejat F. Eczacıbaşı in 1942, Eczacıbaşı Group is one of Turkey's leading industrial conglomerates, operating primarily in construction products, consumer products, healthcare, and natural resources sectors for both national and international markets. It has a total of 50 entities, including one foreign partnership, more than 13,500 employees also engaging in real estate development, natural resources, and information technology.


What Do We Expect from Our New Team Member?

  • To carry out mergers & acquisitions, restructuring, spin-off and other projects of Eczacıbaşı Group companies, prepare, revise and negotiate related project and transaction documents,
  • To liaise with external legal consultants, oversee and coordinate their activities, identifying major issues highlighted by external legal consultants and reporting those to the senior management,
  • Assistance in preparation, revision and negotiations of daily contracts (mainly on Service Contracts, Distribution Agreements, Lease Agreements, Licensing Agreements, Non-Disclosure Agreements, and similar contracts),
  • Providing proactive solutions and legal advice to the needs of the business units of Eczacıbaşı Group (in the normal course of business), and preparing necessary legal documentation for to comply with the Data Protection Law,
  • Ensuring and monitoring Eczacıbaşı Group internal governance and policies in compliance with applicable laws, regulations and legislations and to take active role implementation compliance programmes of Eczacıbaşı Group,
  • Monitor and track laws, regulations and legislations (including case laws/precedents), follow up and report regularly to the management and plan/organize educational seminars in case of any major changes in laws, regulations and legislations.


What Kind of Teammate Are We Looking For?

  • Graduated from Law school and admitted to the Turkish Bar,
  • 5 to 7 years’ experience in Mergers & Acqusitions, Corporate Law, Code of Obligations in a local/international law firm or as an in-house lawyer is a must,
  • Basic knowledge of Competition Law, Intellectual Property Rights, Data Protection Law and related legislation,
  • Excellent command of English in both speaking and writing, second language of French or German is desirable,
  • Result orianted, excellent follow-up and organizational skills,
  • Solid people management skills and ability to effective communication with many different levels of the business units,
  • Adoptive to flexible working hours,
  • Completion of of military service for male candidates.
