Legal Manager - Global Projects' role is part of the Global Legal and Compliance team, providing legal support to the Global Director, Legal and Compliance on M&A and intercompany projects.
This role requires driven professionals with a broad interest in handling M&A activities and projects. The role will include providing pragmatic advice and support to the Global Director and the business on various cross-functional projects, such as M&As, international mergers, acquisitions, joint ventures and divestitures.
The role will coordinate and actively cooperate with other stakeholders such as tax, treasury, finance, and business. This role will supervise, manage and negotiate international M&A activities independently. Additionally, the role will contribute by (i) giving general legal advice in civil law, data privacy law, and commercial and competition law and (ii) reviewing global contracts such as supply and sales agreements, lease agreements and NDAs.
Legal Manager-Global Projects role will ensure that M&A and related risks are managed and escalated as necessary. As a good communicator, the role should be able to answer questions and present information in an easy-to-understand way, demonstrating a balance between risk advisory and solution-oriented mindset.
Responsibilities
— Conducting due diligence reviews on potential M&A transactions, analyzing legal risks, and providing strategic advice to the executive team.
— Drafting, reviewing, and negotiating a wide range of transactional documents, including letters of intent, purchase agreements, term sheets, disclosure schedules, and other agreements.
— Leading the structuring and implementation of transactional strategies, including corporate re-organizations, joint ventures, and divestitures.
— Guiding on regulatory compliance matters related to M&A transactions including competition law and corporate governance requirements.
— Supporting post-closing integration efforts, including the assimilation of acquired businesses and the resolution of any legal or contractual issues that may arise.
— Providing general legal advice and support to various business units on an ad-hoc basis, as needed.
— Working with international law firms in cross-border M&A activities.
— Engaging with other in-house departments including tax, finance, accounting, HR, Sales and IT.
Profile
— 8+ years M&A experience at a law firm and/or in-house legal department with a high volume of M&A activities.
— A law degree from a reputable university, and additional qualifications such as an LLM or an abroad MBA would be advantageous.
— Excellent English skills (written, spoken, contract negotiations);
— Successful track record of managing and negotiating M&A projects and working with international and top-level internal stakeholders;
— Competence to manage several projects at a time independently without losing oversight;
— Team player with a proactive mentality and the ability to provide innovative solutions;
— Capacity to work well under time pressure, respect deadlines, and assume responsibilities.
— Must have experience in managing and executing complex M&A processes, including overseeing M&A transactions from legal due diligence to closing.
— Ability to work autonomously and drive high-value projects to completion.
