    The "BTI LLC v Sequana" case is a significant development in recent company law history. The Supreme Court addressed directors' duties towards creditors for the first time, clarifying the duty's scope, content, and trigger point. This case resolved controversies in two categories: uncertainty about the duty's existence and challenges to its existence. The duty requires directors to consider creditors' interests and balance them with shareholders' interests. The trigger point for its activation is when the company is insolvent or bordering on insolvency. This decision provides clarity but may create challenges for directors in balancing these interests and could affect shareholders' investments in the future.

    Bu makalede, şirketlerin finansal ve operasyonel sıkıntılarından kurtulmak için kullanılan çözümler (yeniden yapılandırma, borç/kredi yapılandırması, malvarlığı satışı vb.) ve bu süreçlerin işletilmesi sırasında sahip olunması gereken kişisel yetenekler (kriz yönetimi, liderlik, strateji vb.) tartışılmaktadır. Bu süreçleri yürütebilecek kişiler için Finansal ve Operasyonel Yapılandırma Uzmanı veya Chief Restructuring Officer (CRO) rolü önerilmektedir. CRO'nun işlevi, süreçleri organize etmek, takım üyeleri arasındaki iş birliğini sağlamak, liderlik etmek ve şirketin genel bir bakış açısına sahip olmaktır.
