    Nazlı is a graduate of American Robert College and obtained her law degree from Istanbul Bilgi University Law School on scholarship in 2014. Nazlı completed her master's degree in International Banking and Finance Law at the University of Leeds in the United Kingdom with a Jean Monnet scholarship funded by the European Union in the 2021-2022 academic year and graduated with a Distinction Degree.

    Early in her career, Nazlı worked at the Istanbul office of a top tier international law firm and provided legal consultancy, especially in the fields of banking and finance law, mergers and acquisitions and competition law, to numerous companies operating in a large variety of sectors. She represented both lenders and borrowers in Turkey's leading energy, highway and infrastructure projects and conducted negotiations and oversaw the preparation of comprehensive facility documentation. In addition to her extensive experience in this field, she also focused on structuring, drafting and negotiating M&A transactions carried out by domestic and international investors. Furthermore, she has provided legal support to clients in the execution of all competition law-related processes, including notifications to the Turkish Competition Authority regarding M&A transactions.

    Nazlı also has a broad experience in assisting companies subject to the supervision of the Banking Regulation and Supervision Agency and the Central Bank of the Republic of Turkey with a variety of legal matters, including obtaining establishment and operation licenses in accordance with the relevant legislation, executing and following-up the applications.

    Halka Açılma Yolunda Yeni Bir Alternatif: Girişim Sermayesi Pazarı

    II-16.3 numaralı Payları Girişim Sermayesi Pazarında İşlem Görecek Ortaklıklara İlişkin Esaslar Tebliği, 18 Mayıs 2023 tarihli Resmi Gazete'de yayımlanarak yürürlüğe girmiştir. Tebliğ, halka arz sürecine tabi olmadan nitelikli yatırımcılara payların satışını ve böylece ortaklıkların "halka açık ortaklık" statüsünü sağlamayı amaçlamaktadır. Tebliğde finansal eşikler ve satış dönemlerine ilişkin düzenlemeler bulunmaktadır. Ayrıca, ortaklıkların halka arz başvurusunda bulunma zorunluluğu ve belirli düzenlemelere tabi olmaları gerekmektedir. Tebliğ, girişim sermayesi pazarının etkin kullanımını hedeflemekte ve piyasanın dinamizmini güçlendirmektedir.

    A New Alternative for Going Public: Venture Capital Market

    The Communiqué on Companies whose Shares will be Traded on the Venture Capital Market has entered into force, allowing non-public companies to sell their shares to qualified investors via the venture capital market without a public offering. The financial thresholds for trading on the venture capital market are specified. The Communiqué includes regulations on financial statements, public offerings, departures from the market, exemptions from certain regulations, and public disclosures. Amendments have been made to the Draft Communiqué based on feedback. The objective is to increase market efficiency and promote the effective use of the venture capital market.

    Son dönemlerde Türkiye’deki portföy yönetim şirketleri (PYŞ) sayı ve hacim olarak hızla büyümektedir. Bu hızlı büyüme, PYŞ’lere ilişkin mevzuatta değişiklikler yapılması ihtiyacını da beraberinde getirmiştir. Sektör tarafında, PYŞ’lerin genel olarak daha verimli şekilde faaliyet gösterebilmek için ihtiyaç duydukları teknik imkâna, istihdama ve gerekli organizasyonel yapıya ulaşmakta güçlük çektikleri düşünülmektedir.
