Minority Shareholders' Rights in Joint Stock Companies

In order to prevent the majority shareholders, who hold the superiority of capital and voting in the management of joint stock companies, from executing unfair and unjust acts against the minority shareholders and violating the rights of the minority shareholders, the legislator has granted some special rights to the minority shareholders and allowed them to protect their interests against the decisions taken with the influence of the majority.

Anonim Şirketlerde Azınlık Pay Sahiplerinin Hakları

Anonim şirketlerin yönetiminde, sermaye ve oy üstünlüğünü elinde bulunduran çoğunluk pay sahipleri tarafından, azınlık pay sahipleri aleyhine ve hakkaniyete aykırı tasarruflarda bulunulmasının ve azınlık pay sahiplerinin haklarının ihlal edilmesinin engellenmesi amacıyla, kanun koyucu azınlık pay sahiplerine özel bazı haklar tanımış ve çoğunluk etkisi ile alınan kararlara karşı menfaatlerinin korunmasına imkan tanımıştır. Böylelikle anonim şirketlerin yönetiminde söz sahibi olan çoğunluk pay sahipleri ile azınlık pay sahipleri arasındaki menfaat dengesi korunmaya çalışılmıştır.

Temsil İç Yönergelerinde Temsil Yetkisinin Kapsam ve Sınırlarına İlişkin Uygulama Değişikliği

İstanbul Ticaret Sicil Müdürlüğü, temsil iç yönergeleri hazırlanırken temsil yetkisinin kapsam ve sınırlarına ilişkin olarak dikkat edilmesi gereken hususlara ilişkin internet sitesinde bir duyuru yayınlamıştır. Şirketin yönetim organının haiz olduğu yetkilerin bir iç yönerge kapsamında, sınırlı yetkili temsilcilere devredildiği anonim ve limited şirketlerde, mevcut iç yönergelerin yeniden gözden geçirilerek, duyuru kapsamında uygulama değişikliğine ilişkin belirtilen hususlar bakımından uygunluğunun ele alınması gerekliliği doğmuştur.

Registry Practice Change Relating to Internal Directives for Representation of Companies

Istanbul Trade Registry (the “Registry”) published an announcement on its website regarding the issues to be considered regarding the scope and limits of representation authorization when preparing internal directives on representation. In joint stock and limited liability companies where the powers of the management body of the company are delegated to limited authorized representatives within the scope of an internal directive, it has become necessary to review the existing internal directives and to address their compliance with the issues stated in the announcement regarding the change of practice.

Ticaret Siciline Tescil Edilen İşlemler için Vergi Dairesi Bildirim Zorunluluğu Kaldırıldı

Ticaret siciline tescil edilen işlemlerden Ticaret Bakanlığı tarafından elektronik ortamda Hazine ve Maliye Bakanlığı’na (“Bakanlık”) yapılan bildirimlerin mükellefler tarafından yapılmış bildirim olarak kabul edilmesine ilişkin usul ve esasların belirlendiği, 546 Sıra No’lu Vergi Usul Kanunu Genel Tebliği (“Tebliğ”), 1 Şubat 2023 tarihinden itibaren yürürlüğe girmek üzere, 18 Ocak 2023 tarihli Resmi Gazete’de yayımlanmıştır.

Notification Obligation to Tax Office for Registered Transactions in the Trade Registry is Abolished

The General Communiqué no. 546 on Tax Procedural Law (the "Communiqué") which determines the procedures and principles regarding the acceptance of the notifications made electronically by the Ministry of Trade to the Ministry of Treasury and Finance (the "Ministry") from the transactions registered in the trade registry as notifications made by taxpayers was published in the Official Gazette dated 18 January 2023, to be effective as of 1 February 2023.
