Baran practices commercial transactions, especially focusing on corporate consultancy and merger-acquisition projects. He provides public companies consultancy within the scope of the capital markets legislation and regulations along with the public disclosure requirements. He also promotes the team with the regulatory compliance questions and programs, covering issues such as corporate governance, capital markets, and company policies.
Baran takes part in the conduction of due diligence for merger-acquisition projects, especially in the examination of licenses and permits. Accordingly, he supports the team in terms of energy law in the merger and acquisition projects of the leading Turkish companies in the energy market.
He also contributes to the team concerning the corporate maintenance issues and necessities such as the preparation of resolutions of general assembly and board of directors.
In addition, Baran carries out the litigation, execution, and collection requirements of domestic and foreign clients throughout as well. He takes part in all stages of the legal processes by preparing legal opinions and petitions for the judgment, especially in the cases of recognition and enforcement of foreign court decisions and arbitral awards, and corporate governance conflicts.
Baran supports a broad array of domestic and international companies, most notably dealing in the energy, food, e-commerce, retail and consumer, as well as construction, and automotive industries.
